From the early stages concern was expressed by Alstom that Asset Sales must achieve the maximum value of capital equipment and to be carried out whilst the site was still in operation. Five Companies were approached to tender for asset disposal of which Asset Sales were successful in being selected for the process.

Please accept this letter as our recommendation for your firm, based upon the results obtained for Wysong & Miles Company (the “Debtor”) in its Chapter 11 proceeding in the U.S. Bankruptcy Court for the Middle District of North Carolina. As counsel for the Debtor, we had the opportunity to receive and evaluate a number of proposals for the liquidation of substantially all the equipment used in the Debtor’s manufacturing process. Asset Sales provided the most attractive offer, both in terms of flexibility in deciding whether to go with a period of marketing for private sales, a bulk sale, an auction, an auction with a guaranteed minimum and participation in excess sales proceeds, and the pricing and terms offered for each of the alternative approaches.

Once the Debtor selected your firm, the negotiations of final terms and of subsequent adjustments was reasonable and responsive to the needs of the parties. As you know the equipment was appraised as having an auction-sale value of approximately $1.2 million. However, your company’s efforts resulted in a private sale of one large item at $600,000, and aggregate auction proceeds on the remainder of approximately $1.2 million, a gross recovery of about $1.8 million. These results greatly facilitated the payment of secured creditors and the consummation of a plan built around this partial liquidation and the preservation of the reorganized company as a parts and service business.

I have been attending auctions for the past 35 years and have been following your auctions for the last several years. I got to know your son, Mark Mannion, a few years ago at an auction you held and became friends with him.

When I went in the machine shop business, I never thought that I would need to contact you to hold an auction at my company, but the failing economy in our area recently caused me to have to go out of business. So, when the decision was made to close, I knew there was only one auction company to be considered. Two days after I contacted you, Mark Mannion was at my shop. The tough economy starting in the Spring of 2000 unfortunately was more than my company could withstand. My second lender foreclosed and I was left with nothing to show for several years of hard work and thousands of dollars invested.

Fortunately, the lender and I were able to work out an arrangement where I was incentivized to help them maximize the dollars they could realize from the sale of my company's assets. As part of the deal, I would be able to use my earnings from the incentive to "buy back" a sound portion of my former company. To be successful I needed to maximize their return.

The most difficult part of my task was advising the lender on the disposal of $1,500,000 in equipment. I had never experienced locating an auctioneer before and in the process I talked to six different firms. From these six, I narrowed it to one, Asset Sales. This was a major decision on my part because my recommendation had to be right or the trust my lender had placed on me would have been lost and the buy back deal lost with it.

Fortunately I picked Gerry Mannion and Asset Sales. Gerry provided the best package. His earnings guarantee was the highest and his references were all superb. We signed a guaranteed amount deal and watched as Gerry's staff marketed the auction, set up the equipment and ran the sale.

My only regret was I did not take the advice of ones of Gerry's references and agree to a participate contract. If we had, we would have netted more than the guaranteed amount.

Just a short note to thank you for the outstanding job you and your staff did in helping us liquidate our equipment once we made the decision to discontinue operations at our laminating table plant. It is hard to believe that it was less than six weeks from the time we first met to the conclusion of our sale.
